Service contract for businesses
Terms of service
The terms between BRASATECH DIGITAL SOLUTIONS S.L., tax ID B09767898, of Calle Ganaderos, 24, 03130 Santa Pola (Alicante), España ("FastBite", "we") and the business or professional that uses FastBite for its restaurant ("the Customer"). This is a translation: the Spanish version prevails.
1. Purpose and acceptance
FastBite is a cloud service (software as a service) for running restaurants: digital menus and QR ordering, point of sale, kitchen display, takeaway orders, allergen information and invoicing. By creating an account, the Customer accepts these terms and the Data processing agreement, which is part of them, and confirms having read the Privacy policy.
FastBite is offered only to businesses and professionals acting in the course of their business, not to consumers. Whoever accepts confirms they have authority to bind the Customer.
2. Account, locations and staff
- The Customer creates an owner account and one or more locations. Each location has its own menu, staff, tax details and subscription.
- The Customer keeps its own and its staff's credentials safe and is responsible for their use. It must tell us promptly if it suspects unauthorised access.
- The Customer creates its staff accounts and gives them roles, and is responsible for staff using the service according to these terms.
3. Practice environment (sandbox)
Each location has a practice space to learn and prepare its setup. Nothing there has real effect: no payments are taken, tickets are training tickets with no tax value, and records go only to the Tax Agency's test environment. The Customer can move its setup (menu, settings, look and tax details) to the live environment; practice orders, staff accounts and payment settings are not moved. We may reset the practice space with reasonable notice.
4. Plans and prices
- Restaurant plan: €49 per month per location, plus VAT, including a 30-day free trial with no card required.
- Free plan: €0 per month. Takeaway orders paid online by card carry a platform fee of 2,5% of their amount, withheld from the payment itself.
- Volume pricing can be requested for three or more locations.
- The payment provider's (Stripe's) fees are separate from these prices.
We may change prices with at least 30 days' notice. A Customer who does not agree can cancel before the change applies.
5. Billing, payment and the end of the trial
- The subscription is paid monthly in advance through Stripe, with the payment method the Customer registers. We issue an invoice for each charge.
- When the trial or the subscription ends, or a charge fails, new orders are paused for that location. Sign-in, billing, existing orders and data export stay available so the Customer can put things right or take its data.
- The Customer can cancel at any time from the location's billing page; cancellation takes effect at the end of the period already paid. Partial periods are not refunded unless the law requires it.
6. Payments from the restaurant's guests
If the Customer turns on online payments, it receives them in its own Stripe account, which it contracts directly with Stripe under Stripe's terms. FastBite does not hold that money. The Customer is responsible for its prices, refunds to its guests and disputes about its payments.
7. Invoices and VERI*FACTU
- FastBite issues the restaurant's invoices in the Customer's name, with the tax details the Customer enters, and creates the billing records required by the Regulation approved by Spanish Royal Decree 1007/2023 (VERI*FACTU). The system's statement of compliance is at /verifactu/declaracion-responsable.
- The Customer is the taxpayer: it is responsible for the accuracy of its tax details, the VAT rates it applies and the content of its invoices.
- For FastBite to send records to the Tax Agency on its behalf, the Customer grants the necessary authorisation (a power of representation or the applicable social collaboration arrangement). Without it, records cannot be sent.
8. The Customer's obligations
- Use the service lawfully and according to these terms.
- Keep its prices, descriptions and the allergen information on its menu accurate; it is solely responsible for them (Regulation (EU) 1169/2011).
- Inform its guests and staff about how their data is handled; FastBite gives each location a privacy page for its guests, which the Customer must review.
- Not try to access other customers' data, get around security measures, overload the service or resell it without permission.
9. The Customer's data
The data the Customer enters (menu, orders, invoices, staff) belongs to it. We handle it on the Customer's behalf under the Data processing agreement. The Customer can export it at any time from the console (backup).
10. Availability, support and changes to the service
We aim to keep the service available continuously, but there may be interruptions for maintenance, updates or causes beyond our control; we will announce planned ones where possible. Support is by email on working days. We may improve or change features; if we remove an essential feature, we will give reasonable notice.
11. Intellectual property
FastBite, its software and its brand belong to us or our licensors. The Customer receives a non-exclusive, non-transferable right to use them while the contract lasts. The Customer keeps its content and lets us use it only to provide the service.
12. Liability
We are liable for damage caused by our wilful misconduct or gross negligence. Otherwise, our total liability to the Customer is limited to the amount it paid for the service in the twelve months before the event giving rise to it, and excludes lost profits and indirect damage. These limits do not apply where the law does not allow them.
13. Term and termination
- The contract lasts while the Customer keeps its account. It can close the account at any time.
- We may suspend or end the contract if the Customer seriously breaches these terms, in particular by not paying or by unlawful use, after notice where possible.
- When the contract ends, the Customer has 30 days to export its data. We then delete it, except what the law requires us to keep, such as invoices and billing records.
14. Changes to these terms
We may change these terms with at least 30 days' notice. A Customer who does not agree can close its account before they take effect.
15. Governing law and jurisdiction
These terms are governed by Spanish law. The parties submit any dispute to the courts of Alicante. The Spanish version prevails over any translation.
